Terms of Use for Eikonikos
1. Acceptance of Terms
Eikonikos, referred to as “The Company” throughout this document, offers the website, products, and services available on eikonikos.com (“eikonikos.com “). By using or accessing the website, you accept and agree to be bound by these Terms of Use (“Terms”), including any additional guidelines and future modifications. If you do not agree to the Terms, please do not use the Site. These Terms of Use (the “Terms“), set out the general terms and conditions applicable to: (a) your access to and use of the website (https://c90b7342ba.nxcli.io), as well as of the Eikonikos metaverse and any linked mobile and/or web application (collectively referred to as the “Website”/ ‘’ Site’’ and the
“Metaverse”), any related non-fungible tokens (the NFTs’’) as well as any related media channel or media form to them and (b) the services ( the’’ Services’’) which we may provide to you (“You“), and constitute a legal agreement between You ( the “Agreement”)., as the user of the Website, Metaverse and Eikonikos Ecosystem and EIKONIKOS LTD -the entity ( the “ Company”) who owns and operates the Website, the Metaverse and Eikonikos Ecosystem. Eikonikos is registered in Seychelles and, therefore, any rights and obligations of the parties under these terms and any legal proceedings arising from these terms will be governed by the laws of Seychelles and both parties submit to the exclusive jurisdiction of the courts of Seychelles. Please read these Terms of Use (the “Terms” or “Terms of Use”) carefully before using the Tools and the Site. By using or otherwise accessing the Tools and the Site, you:
(1) accept and agree to be bound by these Terms
(2) accept that the Tools are still in testing phase and that you use at your own risk, as further explained in Section 2 below;
(3) represent that you are old enough to use the Tools and the Site pursuant to Sections 3 and 9 below;
(4) consent to the collection, use, disclosure and other processing of information ( including personal data) as described in the Privacy Notice, available here ( https://eikonikos/privacy).
(5) accept and agree any additional terms and conditions of participation issued by the Company from time to time. If you do not agree to the Terms, then you must not access or use the Tools or the Site. You are responsible for checking the Site periodically in order to review the current version of the Terms and to familiarize yourself with any changes to them. We reserve the right, on our sole discretion, to make changes to these Terms and to indicate, on the Site the fact that changes/modifications/variations/ supplementations have occurred, this representing sufficient notice on this matter. Such changes shall be binding on You and shall take effect immediately upon posting.
You hereby agree to observe any changes, variations or modifications to our Terms and Your continued use of or access to the Site, Metaverse shall constitute acceptance of any such changes, variations or modifications. There might be times when we don’t tell you about a change to these Terms, for example, if a change does not disadvantage you. A copy of the most up to date version of these Terms is available on the Site. If You do not agree to the changes, You must stop the use of the Site, the Metaverse Eikonikos Ecosystem and related Services. If there is a conflict between two versions of the Terms that You have agreed or been deemed to have agreed to, the latest version shall prevail, unless expressly provided otherwise
2. Use of Site
The Site is intended for use by individuals who are 13 years of age or older. By using the Site, you represent and warrant that you are of legal age to form a binding contract with the Company. In case You are 13 or older but under the age of 18, You hereby declare and represent that You have reviewed these Terms with your parent or legal guardian to make sure that You and Your parent or legal guardian understand these Terms. If You are a parent or guardian permitting a person under the age of 18 ( the ,, Minor’’)
to create an account, You agree to:
i) consent hereby to the collection, use, disclosure and other processing of information (including personal data) of the Minor , as described in the Privacy Notice, available here (https://eikonikos/privacy).
ii) exercise supervision over the Minor’s use of our Site, Metaverse and Services;
iii) assume all risks associated with the Minor’s use of our Site, Metaverse, including the transmission of content or information to and from third parties via the Internet;
iv) ensure that the content and information that the Minor may encounter on our Site and Metaverse are suitable for the Minor;
iv) assume all liabilities resulting from the Minor’s use of our Site, Metaverse and Ecosystem;
v) ensure the accuracy and truthfulness of all information submitted by the Minor;
vi) provide the consents contained in these Terms on behalf of the Minor. We may ask You to confirm that You have your parent’s or guardian’s permission and that they have agreed to these Terms and the terms of the Privacy Notice on your behalf, and, even if We do not do this, we will assume that this is the case and will provide access to our Site and your account on this basis. We may modify, suspend or discontinue, temporarily or permanently, all or any part of our Services with or without notice. We reserve the right, at any time and for any reason, to discontinue, redesign, modify, enhance, change, patch the software, the Site and the Metaverse, respectively the Services, including without limitation, the structure, specifications, ‘look and feel’, navigation, features and other elements of the software ,Site, Metaverse, and/or the Services or any part thereof. You agree that We will not be liable to You or to any third party (for whom you may be acting) for any modification, suspension or discontinuance of all or any part of our Services.
3. Intellectual Property
Eikonikos, acting for the benefit of the Eikonikos community as a whole, holds the intellectual property rights over, and makes available, (a) the DCL Client, the Desktop Client, Sokinoki app, the Blog, Events, Forum, the Command Line Interface, the Rewards tool which, with any other features, tools and/or materials made available from time to time by the Company, are referred to herein as the “Tools” and (b) the website (”https://c90b7342ba.nxcli.io/”) All content included in the Website, the Metaverse or made available through the Ecosystem and Services, including but not limited to: all copyrights and all intellectual property rights in designs, software code, source codes, database, functionality, website designs, audios, videos, texts, photographs, 3D graphics, avatars, digital assets, the icons, logos, characters, buttons, colour scheme, graphics layouts and all other associating functions, as well as the rights in know-how, trademarks, patents, service marks, domain names, trade names, trade secrets and any other intellectual property rights (“IP”) is the property of Eikonikos LTD., and is protected by local and international intellectual property laws and treaties. We are granting You a license consisting in the right of use only for Your personal and non-commercial purposes. You may not, without our prior written consent:
a) modify, copy, display, distribute or commercially exploit any IP or materials (including text, video, audio, functions, user interface design) in the content of any of the Services, including in Ecosystem;
b) remove any proprietary notices from any IP;
c) attempt to derive any source code for Ecosystem; and
d) attempt to disable, bypass, modify, defeat, or otherwise circumvent any protection
system applied to or used as part of the Services. The use of the Services does not grant you any rights other than those granted to You under these Terms. Nothing contained on our Website, the Metaverse and Ecosystem or any communications to You shall be construed as granting, by implication or otherwise, any licence or right to use any IP without Our prior written consent. If You create a hyperlink to our Website, our Metaverse, the hyperlink and context in which it is used may not, without Our prior written consent, suggest an endorsement, sponsorship or affiliation with Us, our affiliates or Services, and may not make use of any of our IP other than that contained within the text of the hyperlink. You will not make use of our URL (or any other URL owned by us) on another website or digital platform without Our prior written consent. You agree that no part of the Website, the Metaverse may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial
purpose whatsoever, without Our express prior written permission. In what concerns the NFTs issued by Us, please note that We own all legal rights, titles, and interests in all intellectual property rights to creative artworks (creations) underlying the NFTs, including but not limited to copyrights and trademarks. As the copyright owner, We enjoy several exclusive rights to the artwork, including the right to reproduce, the right to prepare derivative works, the right to distribute, and the right to display or perform the artworks. Subject to, and in accordance with this document, We grant a limited license right to the artworks to all owners of the NFTs, as provided herein. After You purchase an NFT issued by Us, You will own a non-fungible token (NFT) representing Our creative work as a piece of property, but You will not own the creative artwork itself. You may show off your ownership of NFT/s by displaying and sharing the underlying artwork, you may use the NFTs in the Metaverse and Ecosystem, but You do not have any legal ownership, right, or title to any copyrights, trademarks, or other intellectual property rights to the underlying artwork, except the limited license granted by this document to underlying artwork. We reserve all exclusive copyrights to artworks underlying NFTs including but not limited to the right to reproduce, prepare derivative works, display, perform, and distribute the artworks. We encourage You to show off, promote, and use your NFTs in the Metaverse and Ecosystem, but You may not infringe on any of Our exclusive rights as the copyright holder. We grant You a limited, worldwide license to display the artwork underlying the NFTs legally owned and properly obtained by You. You hereby grant Us a worldwide, non-exclusive, sublicensable, royalty-free license to use, copy, modify, and display any content, including but not limited to the photos, selfies, videos uploaded/ posted by You in the Metaverse, any digital file, art, any text, materials, images, files, that You submit or post on or through the Metaverse or Site ( the ‘’Content’’). You hereby represent and warrant that You have, or have obtained, all rights, licenses, consents, permissions, power and authority necessary to grant the rights mentioned
herein for the Content above mentioned, as well as to grant Us the license described above, and that the Content and the license above-mentioned do not breach any laws. We shall not be liable for any breach of any intellectual property rights in connection
with any Content displayed by Us on Our Site, respectively Metaverse
4. Disclaimer
The Site and its contents are provided “as is” and “as available” without anyn representations or warranties of any kind, either express or implied. The Company makes no representations or warranties about the accuracy, completeness, security, reliability, or availability of the Site, Metaverse or its contents. The Company will not be liable for any damages of any kind arising from the use of the Site, Metaverse, including but not limited to direct, indirect, incidental, punitive, and consequential damages, or for damage/loss caused by theft, robbery, burglary, cyberattacks or other criminal taking if a computer, computer system, computer software program, malicious code, computer
virus or process or any other electronic system is used to perform such acts, or for any loss of any kind, from action taken in reliance on material or information, contained on the Site, respectively the Metaverse, the Ecosystem and/or on the blockchain systems. The Tools are also provided on an “as is” and “as available” basis and may contain defects and software bugs. The Company does not guarantee the correct or secure functionality or performance of the Tools and you are advised to safeguard important data, property, and content, to use caution, and not to rely in any way on the correct or secure functionality or performance of the Tools. You are responsible for taking appropriate precautions to ensure that any data, content, or other materials you may access, download, or use from the Tools are free of viruses, worms, Trojan horses, or other harmful components. We do not promise or guarantee that:
a). the Site, respectively the Metaverse, or any content on it, will always be available or uninterrupted (from time to time, access may be interrupted, suspended or restricted, or due to the fact that We are carrying out planned maintenance);
b). the Site, respectively the Metaverse is free of viruses or errors, its content is accurate, that it will be uninterrupted, or that defects will be corrected;
c). the Services will be always available;
d). access to our Site, the Metaverse and any part of the Services, our Terms and other information provided by Us on the Site or any part of our Services will be continuous, uninterrupted, timely, or error-free or omissions-free. We have the right to limit, on our sole discretion, the availability of the Site, Metaverse and the Ecosystem to any person, geographic area or jurisdiction and/or to prohibit Your
access to and use of the Site, Metaverse and Ecosystem, at any time.
5. Your user account
You shall not attempt to create multiple accounts for yourself by using different email addresses or different identifying information. If You attempt to create multiple accounts then We may close Your account without any formalities, without any notice. Only Eikonikos registered users may utilize the Services provided by the Ecosystem. We reserve the right to deny, suspend or terminate the Services to any current or prospective Ecosystem users due to inter alia, but not limited to the following reasons:
● in Our opinion, the user is not able to fully comply with this Agreement, as above-mentioned.
● the user has committed fraud or a criminal offense;
● the user has acted in a way that might affect Ecosystem and Our reputation;
● the user has provided false or misleading or incomplete information to Us;
● the user does not provide to Us the information needed for verification, if We deem necessary or if the information becomes required by the applicable legal provisions. We may suspend or disable Your access to the Site, Metaverse and Ecosystem if We deem it reasonable to do so, including but not limited to the case that You breach these Terms. We may remove or amend the content of the Site, Metaverse and the Ecosystem at any time. However, some of the content may be out of date at any given time and We are
under no obligation to update it.
6. Eligibility and Your behaviour
The terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms are binding on you, and by accessing the Content, the Site, or Tools, you represent and warrant that you are fully able and competent to enter into them. You represent and warrant that you are the legal age of majority in your jurisdiction as required for accessing the Tools and Content and entering into agreements provided by the Tools. You also represent that you are otherwise legally permitted to use the Tools, such as owning cryptographic tokens and interacting with the Site, Tools, or Content. Furthermore, you acknowledge that it is your responsibility to
ensure compliance with the laws of your jurisdiction and the Company is not liable for your compliance or failure to comply with such laws. Additionally, you represent and warrant that all funds or assets used by you have been lawfully obtained by you in compliance with all applicable laws. The Use VPNs- virtual private networks, proxy servers, address alteration, or any similar technology in order to alter, or otherwise mask your location in order to participate from a prohibited jurisdiction represents a breach of these Terms. Please note that irrespective of your citizenship or permanent residency, your participation, connection, or logging in to the Site or Service from a prohibited jurisdiction represents a breach of these Terms and may result in the automatic and potentially permanent suspension of your account or account features. As a condition to accessing or using the Site, Metaverse respectively the Ecosystem, You:
i) shall not use the Site, respectively the Metaverse, the Ecosystem, in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Site, the Metaverse, the Ecosystem, or that could damage, disable, overburden, or impair the functioning of the Site, Metaverse, the Ecosystem, in any manner;
ii) shall not make any unauthorized use of the Site, the Ecosystem, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email or creating user accounts by automated means;
iii) shall not trick or mislead Us and other users, especially in any attempt to learn sensitive account information such as user passwords;
iv) shall not attempt to impersonate another user or person or use the username of another user, You shall not transfer your profile and/or account;
v) shall not use any information obtained from the Site, the Metaverse, the Ecosystem in order to harass, abuse, or in any way harm another person;
vi) shall not do anything, whatsoever and under whatever form, that could cause any harm or damage to the Site and the Ecosystem.
7. Account Access and Security
Access to the Tools is provided through a third-party private key manager selected by you, such as a Web3 Provider, Eternl, or other. The security and secure access to each account in the Tools is solely the responsibility of the third-party private key manager you choose to administer your private key. The Company bears no responsibility for any breach of security or unauthorized access to your account (the “Account”). You are responsible for ensuring the security of your account and all information provided to the third-party private key manager, including but not limited to email or phone number. To ensure the security of your account, we recommend that you:
(a) Avoid using the same password with your selected third-party private key manager that you have ever used outside of the third-party private key manager.
(b) Keep your password and any related secret information secure and confidential and
do not share them with anyone else. It is your responsibility to protect the security of your account and all information
provided to the third-party private key manager. You are solely responsible for all activities conducted through your Account, whether or
not you authorize the activity. If any fraud, illegal activity, or other conduct that violates this Agreement is discovered or reported, whether by you or someone else, and is connected to your Account, The Company reserves the right to suspend or block your Account. It is your responsibility to ensure that the use of your Account is in compliance with these Terms and to promptly report any unauthorized use or suspicious activity. We do not collect or hold Your private key, and We cannot recover your private key, passwords, or other information. We cannot reset passwords or reverse transactions. You are responsible for maintaining the confidentiality of your password and restricting access to your devices. You are solely responsible for any harm resulting from your disclosure, or authorization of the disclosure, of your password or from any person’s use of your password to gain access to your Account. You acknowledge that in the event of any unauthorized use of or access to your Account, password, or other breach of security, The Company will not be held responsible for any issues that may arise. It is your responsibility to ensure the security of your account and to promptly report any unauthorized access or suspicious activity. The Company shall not be liable for any loss or damage of any kind, under any legal theory, to you or any third party arising from your inability or failure, for any reason, to comply with any of the obligations outlined in these Terms, or for any reason whatsoever, except for the proven fraud on the part of the Company. The Company will not be liable for any loss or damage arising from the sharing or other loss of your private key or related information, or any other damage or loss arising from
unauthorized access to your Account. The Company is not responsible for any unauthorized access to your account and the use of your private key or related information, it is your responsibility to ensure the security of your account and private key and to promptly report any unauthorized access or suspicious activity. Transactions that take place using the Tools are confirmed and managed via the
Cardano blockchain. By using the Tools, you understand that your Cardano public address will be made publicly visible whenever you engage in a transaction. This means that anyone will be able to see your public address on the blockchain and any transaction made with that address. It is important to understand the implications of this before using the Tools. You will not give Us control or access to your crypto wallet and your crypto-assets and We do not control the blockchain or Your crypto-assets (NFTs). If you reside in a jurisdiction where online games are banned, , you are prohibited from accessing any content on the Site that includes online games. The Company is not responsible for any legal consequences that may arise from your accessing such content in violation of local laws. If you are unsure about the legal status of online games in your jurisdiction, it is your responsibility to seek out that information before accessing any content related to online games on the Site. You hereby acknowledge and agree that You are the only one responsible for confirming and ensuring your compliance with any local legal provisions that may be applicable to your activities on the Site and Ecosystem, including those of your country or jurisdiction of residence. You hereby confirm that You are legally allowed to participate in the games and the Ecosystem. Taking into consideration the above-mentioned, You hereby agree that:
a) You assume all risk in connection with Your access and use of the Site, the Metaverse and Ecosystem;
b) You expressly waive and release Us from any and all liability, claims, causes of action, or damages arising from or in any way related to Your use of the Site, the Metaverse, the Ecosystem or the smart contracts.
8. Transactions
If you elect to purchase, trade, or sell a LAND parcel, Avatar, wearable or other non-fungible token (“NFT”) with or from other users via the Tools, any financial transaction that you engage in will be conducted solely through the Cardano network, via Web3 providers. The Company will have no insight into or control over these payments or transactions, nor does it have the ability to reverse any transactions. With that in mind, the Company will have no liability to you or to any third party for any claims or damages that may arise as a result of any transactions that you engage in via the Tools, or any other transactions that you conduct via the Cardano network, and other
networks, sidechains, via Web3 providers.
We do not intend and We do not provide any investment or financial advice or recommendations whatsoever. In this respect, We cannot provide You with any investment, legal, financial, taxation or other advice in connection with your decisions.
Nothing on the Site, respectively on the Ecosystem or in any communications (including the marketing communications) which We are sending or displaying to You is intended to represent an investment or financial advice or a recommendation in this respect
We will not be responsible for any communication failures, disruptions, errors, distortions or delays You may experience when using the blockchain, however caused. We expressly disclaim any liability for these risks. Depending on your activity in the Metaverse, You may also lose crypto-assets. No recommendation is made herein as to the advisability of purchasing crypto-assets.
8.1. Cardano Network
Cardano also requires the payment of a transaction fee (a “Transaction Fee”) for every transaction that occurs on the Cardano network. The Transaction Fee funds the network of computers that run the decentralized Cardano network. This means that you will need to pay a Transaction Fee for each transaction that occurs via the Tools. You accept that the payment of the Transaction Fee is inherent to the nature of the Cardano network and not the responsibility of the Company or due to the use of the Tools.
It is important to note that the transaction fee may vary depending on the network congestion and the complexity of the transaction. It is your responsibility to ensure that you have enough funds to cover the transaction fee when using the tools.
8.2. Third Party
Please be aware that transactions in third-party NFT marketplaces (inside or outside Eikonikos) may be subject to the fees charged by said third-party marketplaces as per the respective terms and conditions. The Company shall have no liability whatsoever
with regards to transactions conducted in third-party marketplaces. It is important to note that the transaction fee may vary depending on the network congestion and the complexity of the transaction. It is your responsibility to ensure that you have enough funds to cover the transaction fee when using the tools.
8.3. The sale of other NFTs , different from Our NFTs
The terms of sale of other NFTs , different from Our NFTs ( ,,NFTs Terms’’) are established by the sellers and consequently the NFTs’ sale, their purchase and their use are subject to such NFTs Terms. We may just display the NFTs Terms, We are not involved in the drafting process or enforcement process of these NFTs Terms. Usually the NFTs Terms are governing the sale, purchase and use of NFTs, as well as the rights associated to the NFTs, the intellectual property rights over the underlying artwork related to the NFTs and over the NFTs, the benefits related to the NFTs, royalties, as well as the price of such NFTs. We are not liable for any content of the NFTs Terms.
We are not a party to any such NFTs Terms, which are applicable only to the relationship between the seller and the buyers /users of the NFTs and We are not responsible for ensuring buyers/users’ compliance with such NFTs Terms and We shall not be involved in any disputes , claims with respect to such NFTs Terms (including, but not limited to any disputes arising out of or in connection to the authenticity of the NFTs or any intellectual property rights associated with such NFTs or their underlying artwork).
The seller and the buyers/users are entirely responsible for communicating , agreeing to, applying and enforcing the NFTs Terms and for solving any disputes arising from any breach of any NFTs Terms. In case that a third party has a claim against Us , the creator/ seller of the NFTs shall be held responsible towards us, as per this document.
We are not liable for any breach by any person of any intellectual property in relation to the underlying artwork of the NFTs and NFTs presented by us on the marketplace and Metaverse.
8.4. Taxes:
You will be solely responsible for paying any and all taxes, duties, and assessments (except taxes that may apply on our net income) now or hereafter claimed or imposed by any governmental authority (collectively, “Taxes”) associated with your use of the Tools (including, without limitation, any Taxes that may become payable as the result of your ownership, or transfer of any NFT and any activity conducted by you in Eikonikos). Except for income taxes levied on the Company, you: (i) will pay or reimburse the Company for all national, federal, state, local or other taxes and assessments of any jurisdiction, including value added taxes and taxes as required by international tax treaties, customs or other import or export taxes, and amounts levied in lieu thereof based on charges set, services performed or payments made hereunder, as are now or hereafter may be imposed under the authority of any national, state, local or any other taxing jurisdiction; and (ii) shall not be entitled to deduct the amount of any such taxes, duties or assessments from payments made to the Company pursuant to these Terms. It is your responsibility to ensure compliance with all applicable tax laws and regulations in your jurisdiction.
You are solely responsible for determining what, if any, taxes apply to your Eiktokens related transactions, and any other transactions conducted by you. The Company does not, and will not, have any insight into or control over any transactions conducted by you in Eikonikos, and thus is not responsible for determining the taxes that apply to your transactions entered through the Tools or otherwise involving any Eiktokens, or any other related transaction, and is not to act as a withholding tax agent in any circumstances whatsoever.
You are solely responsible for determining what, if any, taxes apply to your use of NFTs and Eiktokens and any of your activities performed by You within or in relation to the entire Ecosystem.
9. Risks
9.1. Risk of regulatory action in more than one jurisdiction
The regulatory environment for The Company’s activities and Services, EikTokens and ADA is constantly changing and could result in regulatory inquiries or actions that impede or limit your ability to access or use the Tools or Cardano blockchain. These regulatory actions could negatively impact the use, transfer and value of these digital assets. You hereby acknowledge and agree that We shall not be held liable for any loss/damage caused to you by the cease, suspension, or modification of the Services, Tools, Metaverse, Ecosystem caused by such regulatory actions and changes.
9.2. Risk associated with cryptographic weaknesses or exploits
You acknowledge and agree that the field of cryptography is constantly evolving and that advances in code cracking or the development of quantum computers may present risks to smart contracts, cryptocurrencies, and the Tools. It is possible for your cryptographic tokens or property to be stolen or lost as a result of these risks. By using the Tools, you accept these risks and agree to undertake them. You hereby acknowledge and agree that You are using the Tools and Services on Your own risk and We shall not be held liable for any loss/ damage caused to you.
9.3. Risk with Crypto Assets:
You understand that some of the Tools utilize blockchain technologies such as ADA and EikTokens, and that these assets are highly volatile. Factors such as popularity, adoption, speculation, regulation, technology, and security risks can affect their value. You acknowledge that the cost of transactions on these technologies can also fluctuate and may increase without notice, which can impact any activities on the Cardano blockchain. Company does not offer or make any invitation to acquire, buy, sell, transfer, or deal with crypto assets. The Company does not provide any services for buying, selling, or trading crypto assets, and is not liable for any loss or damage caused by their use. The Company is not responsible for changes in value or increased costs, and you acknowledge and accept these risks.
A number of risks are associated with the use of internet-based currencies such as ADA and EikTokens, including failures or problems with hardware, software, and internet connections, the introduction of malicious software, and the possibility of third parties accessing your wallet information unauthorizedly. You hereby accept and acknowledge that The Company will not be responsible for any communication failures, disruptions, errors, distortions, or delays you may experience while using the Cardano network or any other device for processing transactions when you use the Tools and access the Cardano network.
9.4. Risks with Third party Providers :
The Company, neither own nor control Eternl or any other Cardano wallets, Google Chrome, the Cardano network, any Web3 Provider or any other third party site, product, or service that you might access, visit, or use for the purpose of enabling you to use the various features of the Tools. 9.5. Risk with application Security
You acknowledge and agree that the Site, the Tools, and related applications are software code that may contain flaws, and you are solely responsible for evaluating any smart contract, code provided by the Site, Tools, or Content and the trustworthiness of any third-party websites, products, smart-contracts, or Content you access or use through the Tools. You also acknowledge that Cardano applications can be written maliciously or negligently, and that The Company cannot be held liable for your interactions with such applications, which may result in the loss of property or even identity. All these risks are presented in an exemplificative manner and not in an exhaustive manner. This warning and others provided by The Company do not represent a continuing duty to alert you to all potential risks of using the Tools or the Site.
9.6. Risk with use of Tools
You acknowledge and agree that the Tools do not store, send, or receive LAND parcels. This is because LAND parcels exist only by virtue of the ownership record maintained on the Tools’ supporting blockchain in the Cardano network. Any transfer of a LAND parcel occurs within the supporting blockchain in the Cardano network, and not within the Tools.
9.7. Risk of changes in Cardano
It is possible that upgrades to the Cardano Platform, a hardfork in the platform, or changes to how transactions are confirmed on the platform could have unintended, adverse effects on all blockchains.
9.8. Risks of cyberattacks in Metaverse
In the Metaverse, breaches and cyber-attacks may take the form of deep fakes and hacked avatars, so it may be harder to identify such situation. You hereby acknowledge and agree that We shall not be held liable for any loss/ damage caused to you by such cyber-attacks.
10. Content which you post on the Eikonikos Social Media Communities and Metaverse
When you post content on Eikonikos Social Media Communities and Metaverse, You:
a. must make sure that all content You post belongs to You or that You have a right to post that information and that You do not violate the privacy rights, publicity rights, copyright, contract rights or any other rights of any individual or make derogatory remarks regarding, defame or otherwise criticize any person or entity. You shall be liable for any damage resulting from any infringement or other violation of the copyright, trademarks or other proprietary rights of any individual or entity, and for any other harm or losses resulting from any content that you post;
b. must not post any personal or security information about yourself or about anyone else and you must not try to obtain the personal or security information of someone else;
c. must not post that We endorse or warrant Your content;
d. must not advertise or promote another business or service, except otherwise agreed by Us, or any type of commercial content (including spam); and
e. must not post anything which is abusive, inciteful, defamatory, harassing, insulting, sexually explicit, offensive, racist, rude, hateful, threatening, violent, or illegal;
f. must not post content containing unsolicited promotions, commercial messages or any chain messages or user content designed to deceive or trick the users of the Website, respectively the Metaverse;
g. encourage or induce any third party to engage in any of the activities prohibited under these Terms. We may review and monitor Your activity and posts, as well as Content on the Eikonikos Social Media Communities and Metaverse. If You breach any of the above rules, We will record such breach and We will remove the post, Content without telling You. We may also block Your access to the Services or terminate our Agreement with You – We will communicate you when We will take such measures. We may also be required by applicable legislation to communicate to regulators or government authorities about a breach, and help them in any investigation about a breach.
By posting content on the Eikonikos Social Media Communities, respectively on Metaverse, You specifically grant us a non-exclusive, irrevocable, transferable, sub-licensable, royalty-free, worldwide license to use, copy, duplicate store, present and/or publish all or any part of your content, and We shall be free to use such content, in any manner or media whatsoever, on an unrestricted basis and without any attribution or royalties or other compensation to You, including without limitation, our Site, advertisements, in printed media, and in newspapers.
11. Children
You affirm that you are over the age of 13, as the Tools are not intended for children under 13. If you are between the ages of 13 and 18, or the legal age of majority in your jurisdiction if that jurisdiction has an older age of majority, then you agree to review these terms with your parent or guardian to make sure that both you and your parent or guardian understand and agree to these Terms. You also agree to have your parent or guardian review and accept these Terms on your behalf. If you are a parent or guardian agreeing to the terms for the benefit of a child over 13, then you agree to and accept full responsibility for that child’s use of the Tools or the Site, including all financial charges and legal liability that he or she may incur.
To access certain contents, you will need to have a minimum age as detailed in the Content Policy. In all cases involving online game and dating, you must be older than 18 years (or the minimum legal age in your place of residence).

As a user of Eikonikos, you are responsible for ensuring that any Assets You upload to the platform comply with any applicable laws and third party rights, including but not limited to intellectual property rights. You retain ownership of your Assets at all times, but by using Eikonikos, you grant the platform a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sub-licensable (through multiple tiers), transferable right and license to use, reproduce, publicly display, distribute and adapt the publicly shared Assets and Games for the purposes of developing, distributing, providing, improving, and promoting the Services, Eikonikos’ activities, and your publicly shared Assets and Games
You may make your Assets available for purchase on Eikonikos, where each Asset is a non-fungible token (a “NFT”) on the blockchain. When you upload an Asset and make it available for sale in Eikonikos marketplace, you retain ownership of all intellectual property rights associated with such Asset but you agree to make a certain number of the Assets available for sale as NFTs. When an end user purchases the Asset, they own the NFT underlying it completely, and they can sell, trade, donate, give away, transfer, or otherwise dispose of it as they see fit; however, each asset will be tokenized so that ownership and scarcity can be proven.
Eikonikos will strive to ensure that all Assets uploaded to the platform are uploaded and made available for sale by their original creators, however Eikonikos cannot be held liable if another user violates any of these Terms or creates Assets or Games they did not create. If you purchase an Asset on Eikonikos, please be aware that, in general, the creator of the Asset retains copyright to the Asset, which means you cannot use the Asset for commercial purposes of any kind; provided, however, that you do acquire the right to display and resell the Asset. The specific terms of sale/use of such NFTs may be displayed on the Site, based on the instructions and their content received from the creators.
The creators of the NFT hereby represent and warrant that the creator/ seller and your NFTs do not breach any copyright, contract rights or any other intellectual property rights of any third party (person or entity) with respect to the design and underlying artwork related to the NFTs. You shall be liable towards Us for any damage resulting from any infringement or other breach of the copyright, other intellectual property rights of any individual or entity, and for any other harm or losses in connection with the design and underlying artwork related to the NFTs incurred by Us. In this respect, You hereby agree to indemnify and hold harmless Us against any and all claims and expenses, including attorneys’ fees, arising out of any breach or alleged breach of such intellectual property rights in connection with the design and underlying artwork related to the NFTs.
In case of a third-party’s notice, allegation, demand or claim addressed to Us with respect to any actual or alleged infringement/ breach of any intellectual property rights in connection with the design and underlying artwork related to the NFTs, We may notify You about the third party’ s notice, allegation, demand or claim and We are entitled to request You to support the attorneys’ fees for responding to the third party’s notice, demand, the allegation as well as any expenses (including attorneys’ fees) incurred by Us in case that lawsuits are initiated against Us.
You hereby grant Us a worldwide, non-exclusive, sublicensable, royalty-free license to use, copy, modify, and display any content, including but not limited to the underlying artwork related to the NFTs, any digital file containing such underlying artwork, art, or other material linked to or associated with any NFTs, any text, materials, images, files, that You submit or post on or through the marketplace.
12. Indemnity
You shall release, indemnify, defend and hold harmless the Company, its officers, directors, employees, and representatives from and against any and all losses, liabilities, expenses, damages, costs (including attorneys’ fees and court costs) claims or actions of any kind whatsoever arising or resulting from your use of the Tools or the Site, your violation of these Terms, and any of your acts or omissions. The Company reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you and, in such case, you agree to cooperate with the Company in the defense of such matter.
This means that you will be responsible for any loss or damage incurred by the Company as a result of your actions or inactions, and You will need to compensate the Company for any expenses and/ or legal fees that may arise from any claims or lawsuits related to your use of the site or tools.
You will indemnify, defend and hold harmless at your own expense, the Company, our representatives and agents and anyone acting on Our behalf, from and against any damages, costs and expenses, including attorney’s fees and costs, third party claims, demands, liabilities, resulting from any claim, allegation or demand, connected with your use of the Metaverse, Ecosystem, your breach of these Terms, infringement of any other person’s rights.
You shall be liable to Us for any loss or damage suffered by Us as a result of any breach of these Terms, or of any use of the Metaverse, the Ecosystem that is fraudulent or represents willful misconduct.
We (including our affiliates) shall not be liable for (i) the NFTs losing value or utility, having no value or utility, or any change in the value or utility of the NFTs, if the NFTs ever had value or utility; (ii) losses incurred by any person or entity in connection with the use or transfer of the NFTs, (iii) the inability of any holder of a NFT, or any other person or entity to use or access our Services or (iv) if the Metaverse is hacked or otherwise infected with harmful code, any results of, or loss directly or indirectly caused by, such hacking or harmful code.
We shall not be responsible or liable to You for any losses, damages or claims arising from: (i) user error such as forgotten passwords, incorrectly constructed transactions, or mistyped wallet addresses; (ii) server failure or data loss; (iii) blockchain networks, cryptocurrency wallets or corrupt files; (iv) unauthorized access to Services; (v) the services performed by third parties providers, or (vi) any third party activities, including without limitation the use of viruses, phishing, or other attacks.
We shall not be liable for any direct or indirect loss or damage, foreseeable or otherwise, including any indirect, consequential or special damages arising from Your use of the Site, Metaverse respectively Our marketplace or any information contained in it. You are using the Site, Metaverse respectively Our marketplace, at Your own risk.
We (including our afilliates, officers, directors, employees and collaborators), shall not be liable to You for any direct, indirect, consequential loss, damage, cost or expense (including legal costs), damage or corruption of data or any similar damage or loss
costs, expenses and payments, arising from, or in connection with the content, the use of or the inability to use the Site, respectively Our marketplace, Metaverse or its features, or from any failure, error, or breakdown in the function of the Site, respectively Our marketplace, Metaverse, or from any fault, or error made by our officers, directors, employees, directors and collaborators or from your reliance on content available on the Site, respectively Our marketplace, Metaverse or from any communication with Us, or
from any denial or cancelation of Your user account, or from retention, deletion, disclosure and any other use or loss of your content on the Site, respectively Our marketplace, Metaverse.
We shall not be liable for any delay or failure to perform any of the Services as required by these Terms because of any fortuituous case or force majeure case.
13.Restriction and Obligations:
As a user of Eikonikos’ Services, you agree not to use the Services for any illegal or harmful activities, and not to engage in activities that could harm the Services or any other person.
You also agree not to :
decompile, disassemble, reverse engineer, copy, transfer, or otherwise use the Services, Eikonikos Content, Assets, and Games, except as permitted by these Terms
- Promote any illegal activity, or advocate, promote or assist any unlawful act; Violate the legal rights of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and the Privacy Policy;
- Transmit any material or content that is pornographic, threatening, harassing, libelous, hate-oriented, harmful, defamatory, racist, xenophobic, or illegal.
- Transmit any material or content that attempts to falsely state or otherwise
misrepresent your identity or affiliation with a person or entity. - Transmit or otherwise make available any unsolicited or unauthorizedadvertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation; Transmit material or content that promotes, provides, or relates to instructional information about illegal activities
or promotes physical harm or injury against any individual or group. - Transmit or encourage the transmission of any material that may infringe theintellectual property rights or other rights of third parties.
- Use the services in a manner that may interrupt, suspend, slow down or hinderthe continuity of the Services, constitute an intrusion or attempt to break into the Services or Eikonikos’ computer or networking systems, divert the Services’ system resources, place a disproportionate load on the infrastructure of the Services, or constitutes an attack on security and authentication measures of the Services or Eikonikos’ computer or networking systems.
- Intrude into a third party’s computer system, engage in any activity that may damage, control, interfere with or intercept all or part of a third party’s computer system and violate its integrity or security, or otherwise transmit any materials or content that is harmful for third party information systems.
- Engage in activity which operates to defraud Eikonikos, Eikonikos users, or any other person; and engage in gambling, casino-style games, or games of chance.
14. Changes to Terms
The Company reserves the right to make changes to these Terms at any time. Your continued use of the Site following any changes to these Terms will constitute your acceptance of such changes.
14.1. Modification of Terms of Use
The most current version of these Terms will be posted on the Site. You shall be responsible for reviewing and becoming familiar with any such modifications. Use of the Tools, Services, Metaverse, Ecosystem by you after any modification to the Terms constitutes your acceptance of the Terms as modified.
15. Governing Law
The rights and obligations of the parties hereunder and the interpretation of these Terms will be governed by the laws of Seychelles, without giving effect to its principles of conflicts of law. If either party brings any proceeding against he other party arising out
of these Terms, that party may bring proceedings only in the courts of Seychelles and not in any other court, and each party hereby submits to the exclusive jurisdiction of those courts for the purposes of any such proceeding.
16. Miscellaneous
No waiver, concession, extension, representation, alteration, addition or derogation from these Terms by us, or pursuant to these Terms, will be effective unless consented to explicitly and executed in writing by our authorized representative. Failure on Our part to demand performance of any provision in these Terms shall not constitute a waiver of any of our rights under these Terms.
If any provision of these Terms shall be judicially determined to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions thereof shall not in any way be affected or impaired thereby.
We may assign or transfer any or all of Our rights or obligations under these Terms, in whole or in part, without notice or obtaining your consent/approval.
